Delivery, Engineering & Revisions

The project will be delivered within from the project kick-off date. The Service Provider shall provide up to 2 rounds of structured revisions at no additional cost. Revisions are defined as adjustments to existing deliverables; scope changes, new features, or significant alterations are subject to a separate Change Order with additional charges based on complexity, time, and resource requirements.

Complexity-based pricing applies. The total engagement fee reflects the level of technical difficulty, specialised expertise, custom integrations, and expected delivery hours. Custom content, copyrighted material, patented components, or bespoke creative assets not covered in this Agreement will be quoted and charged separately at the then-current rate card. The Service Provider reserves the right to use appropriate sub-contractors, tools, and third-party integrations.

Payment Terms

Ownership & Maintenance

Upon full and final payment of all fees, the Client shall own all custom-developed code and design assets created specifically for this engagement. The Service Provider retains the right to showcase the project in its portfolio and promotional materials unless explicitly restricted in writing. Third-party tools, plugins, and licenced software remain subject to their respective licencing agreements and are the Client's responsibility to renew.

Post-Launch Support: The Service Provider will provide 30 calendar days of post-launch bug-fix support at no additional charge. Critical production issues will be addressed within 48 business hours. Ongoing maintenance, updates, and enhancements beyond this period are available under a separate retainer agreement.

Hosting & Infrastructure

The Service Provider will advise on and configure hosting infrastructure on behalf of the Client. Cloud providers recommended include AWS, DigitalOcean, Vercel, or equivalent, selected based on performance, regional compliance, and budget requirements. The Client is responsible for all third-party hosting subscription costs unless explicitly included in this Agreement. One-time server setup is included; ongoing infrastructure management is subject to a separate agreement. All server credentials will be handed over to the Client at project completion.

Data Protection & Privacy Compliance

              Regulatory Compliance: Where the Client operates in or serves users in the European Economic Area (EEA), United Kingdom, or other regulated jurisdictions, the Service Provider will endeavour to implement technical measures aligned with applicable data protection regulations, including the EU General Data Protection Regulation (GDPR), UK GDPR, and India's Digital Personal Data Protection Act (DPDPA). However, ultimate compliance responsibility rests with the Client as Data Controller.
            

Data Processing: The Service Provider acts as a Data Processor under instructions from the Client (Data Controller). Any personal data accessed or processed during the engagement will be handled in strict confidence and used solely for the purpose of delivering the contracted services. A Data Processing Agreement (DPA) can be executed as a supplementary document upon Client request. No personal data will be transferred to third parties without explicit Client consent.

Intellectual Property & Ownership

Ownership: Upon receipt of final payment, ownership of the custom-developed website and its content will be transferred to the Client. The Service Provider retains ownership of any pre-existing code, frameworks, or proprietary tools used in the build.

Usage Rights: The Service Provider grants the Client a perpetual licence to use and modify the deliverables for their own business operations. The Client may not resell or redistribute the software core without prior written agreement.

Service & Delivery Expectations

Support: Reasonable post-launch support for minor fixes will be provided for 30 days after deployment. Ongoing maintenance or new feature requests beyond this period will be scoped and billed separately.

Revisions: The project includes up to two rounds of major revisions. Additional revision cycles or significant changes to the agreed scope after development has commenced will be treated as new work and quoted accordingly.
